The short answer: a PE portfolio company in the 300–1,500 employee band running SOX in 2026 should expect to pay $180K–$350K all-in — platform, internal audit overhead, and external audit fee combined — not the $400K–$800K that AuditBoard-anchored stacks still consume. The consequence at the mid-market is mechanical. PE portcos in the 300–1,500 emp band routinely buy AuditBoard "light" packages — a scoped-down configuration sold at $100K–$150K ACV — and use 20–30 percent of the feature surface, because their internal audit team is two or three people, not ten or fifteen. The recurring refrain on r/Accounting and in portco CFO Slack groups is direct: "We're a 400-person public microcap, we pay AuditBoard $200K a year, we use 20 percent of it." Variants of that sentence appear in every aggregator-sourced evidence brief on the category.

The second-order consequence is worse. Many portco CFOs, faced with the ACV sticker shock, defer the SOX program entirely until forced by an external auditor deadline or a sponsor covenant clock. At that point the default becomes an outsourced consulting-led readiness project at $300K–$500K fixed fee. The consulting firm produces external deliverables — walkthrough memos, control matrices, test workpapers — without leaving in-house evidence capability, which means the next quarter's testing cycle starts the cost clock over again. The economics break in multiple directions simultaneously.

SEC-registered PCAOB firms have begun accepting agent-produced evidence in walkthroughs where these characteristics are demonstrable. The honest caveat

Not every control family is agent-testable at a PCAOB-acceptable bar today. Financial close controls requiring judgment — journal entry review for materiality, estimate review for reasonableness, complex revenue recognition assessment under ASC 606 — still need human testers because the control itself requires judgmental evaluation. The agent covers the high-volume, deterministic families. The human covers the judgmental ones.

This is a feature of the agent-driven thesis, not a limitation. A mature SOX program wants human attention concentrated where it creates the most audit value, which is the judgmental controls. Each portco runs a different stack, reports on different cadences, and surfaces deficiencies in different formats, which means the fund-level risk picture is perpetually stale and manually stitched.

Agent-driven platforms make sponsor-level consolidation tractable. A single evidence schema across multiple portcos means deficiency dashboards that actually compare portco-to-portco. Four questions separate the portcos that should move in 2026 from those that should wait.

Question 1: What is your control population and how fragmented is the evidence today?
